1. Introduction
Welcome to Adgentic, a platform owned and operated by Climatewise LLC ("Adgentic," "we," "us," or "our"). These Terms of Use (“Terms,” “Agreement”) govern your use of our website (www.adgenticplatform.com), APIs, and related services (collectively, the “Service”).

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.We may update these Terms from time to time.

Updates will be posted here with a new effective date. Continued use of the Service after changes constitutes acceptance.
2. Eligibility
  • You must be at least 18 years old and have the legal authority to enter into these Terms.
  • By registering, you represent that all information provided is accurate and complete.
3. Roles on the Platform
Adgentic connects Publishers (developers, AI apps, platforms integrating Adgentic APIs) with Advertisers (brands, merchants, affiliate partners).
  • Publishers use Adgentic APIs to monetize prompts by displaying advertiser offers.
  • Advertisers provide product feeds, offers, and campaign data via existing affiliate networks or direct integration.
Both roles are bound by these Terms, with some provisions applying only to one role.
4. Account Registration & Security
You agree to:
  • Provide complete and accurate information.
  • Maintain the confidentiality of your login credentials and API keys.
  • Be responsible for all activities under your account.
  • Notify us immediately of any unauthorized use.
5. Use of the Service
You agree not to:
  • Violate any applicable law, affiliate network policy, or third-party rights.
  • Engage in fraudulent activity, including:
    • Click fraud or bot-generated traffic
    • Misrepresentation of user intent
    • Incentivized or artificial clicks
  • Reverse engineer, scrape, or misuse the API.
  • Upload or transmit malware.
  • Impersonate any person or entity.
We reserve the right to monitor, audit, and suspend accounts suspected of abuse.
6. Affiliate Network Compliance
Because Adgentic integrates with third-party affiliate networks (e.g., CJ, Awin, Rakuten, Impact, ShareASale), all Publishers and Advertisers must comply with applicable network policies and restrictions.

Violations may result in immediate suspension, withheld payments, and reporting to the relevant network.
7. Intellectual Property
  • All software, APIs, dashboards, and content are the property of Adgentic or its licensors.
  • You are granted a limited, non-exclusive, revocable license to access the Service.
  • You may not copy, modify, or create derivative works without prior written consent.
8. User Content & Feedback
If you submit content, feedback, or suggestions, you grant Adgentic a non-exclusive, worldwide, royalty-free license to use, display, and adapt such submissions for providing and improving the Service.
9. Fees, Payments & Payouts
  • Publishers earn commissions based on valid, tracked transactions.
  • Payments are made according to the payout schedule in your dashboard.
  • Adgentic may withhold or reverse payments in cases of fraud, chargebacks, advertiser disputes, or network clawbacks.
  • All fees are exclusive of taxes; you are responsible for applicable taxes.
10. Service Availability
The Service is provided “as is.” Adgentic does not guarantee uninterrupted access, as availability may depend on advertisers, networks, or third-party systems.
11. Termination
We may suspend or terminate your account at any time for violations of these Terms, fraud, or misuse of the Service. You may terminate your account at any time via your dashboard.
12. Disclaimers
The Service is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
13. Limitation of Liability
To the fullest extent permitted by law:
  • Adgentic shall not be liable for indirect, incidental, special, consequential, or punitive damages.
  • Our total liability shall not exceed the amount paid to us by you in the three months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Adgentic, its officers, employees, and affiliates from claims, damages, and expenses arising from your use of the Service, violation of these Terms, or infringement of third-party rights.
15. Governing Law & Dispute Resolution
  • These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
  • Any dispute, controversy, or claim will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
  • The arbitration will take place in Wilmington, Delaware, unless both parties agree otherwise.
  • Claims relating to intellectual property rights (including patents, trademarks, copyrights, or trade secrets) may be pursued in court instead of arbitration.
  • Either party may also bring eligible matters before a small claims court as an alternative forum.
16. General Provisions
  • These Terms constitute the entire agreement between you and Adgentic.
  • If any provision is held unenforceable, the remaining provisions remain valid.
  • Failure to enforce any right does not waive it.
